Curious Minds Software, LLC ("Company," "we," "us," "our") offers Chunk ("App"), a subscription-based learning application utilizing generative artificial intelligence. This document outlines conditions governing your use of our App.

Your acceptance creates a binding legal agreement, so please read carefully. If you disagree, do not access or use the App.

1. Acceptance of Terms

By installing, accessing, or using the App, you acknowledge reading, understanding, and agreeing to these Terms. If you disagree, uninstall immediately and discontinue use.

2. Privacy

Your privacy matters. Review our Privacy Policy, which explains how we collect, use, and protect personal data. The Privacy Policy is incorporated into these Terms by reference.

3. Eligibility

To use the App, you must be at least 13 years old or meet the minimum legal age for personal data processing consent in your jurisdiction, whichever is higher.

4. Accounts

You are responsible for safeguarding account credential confidentiality. Promptly notify us of any unauthorized account use.

5. Use of the App

You agree to use the App complying with all applicable laws, rules, and regulations. Prohibited uses include illegal, harmful, misleading, or fraudulent activities. Violations may result in immediate access termination.

5.1 Location Services

The App may request device location access for location-based services like directions and maps through Apple Maps. You can grant or deny permission via device settings. We do not store, retain, or use location data beyond providing requested services. Location data is not shared with third parties except as necessary for requested mapping functionality.

5.2 Image Generation

The App includes image generation powered by OpenAI models. You agree not to create illegal, harmful, misleading, fraudulent content, or content violating others' rights. We reserve the right to restrict or terminate access if used inappropriately.

5.3 Capture Features (Save to Chunk, Browser Extension, and Email Forwarding)

Chunk lets you save content into your account from outside the app: the "Save to Chunk" share option on iPhone, iPad, and Mac; the Chunk browser extension; and a private email-forwarding address. These features capture content only when you choose to send it — the browser extension acts only when you click it and does not read your browsing history or run in the background, and content is saved to your Quick Capture Inbox for you to review.

You are responsible for the content you capture. By saving, clipping, or forwarding content into Chunk, you confirm that you have the right to do so and that doing so does not violate any law, contract, or third party's rights (including copyright, confidentiality, or privacy rights). Do not capture content you are not permitted to copy or store.

Your email-forwarding address is unique to you and acts like a password: anyone who knows it can send content to your inbox. Keep it private, and reset it at any time in Settings if you believe it has been shared or misused. You are responsible for content sent to your address, including content forwarded by others.

5.4 Automations

Automations let you ask Chunk to do recurring work on your behalf — such as re-running a research query, watching a web page for changes, summarizing your notes, or carrying out a bounded task using your notes and the web. Once you create an Automation, it runs automatically on the schedule you choose, including when you are not using the app, until you pause or delete it.

Automations use generative AI and read the sources you point them at, which may include your own notes and documents and publicly available web pages. As with all AI features, results may be incomplete or inaccurate, and you should verify anything important before relying on it. You are responsible for the Automations you create and for any decisions or actions you take based on their output. Automations are subject to usage limits that vary by plan, and we may pause, limit, or stop an Automation to protect the reliability of the service.

5.5 Search and Related Content

Chunk indexes the content you save so you can search across it and so the app can surface related items from your own account while you chat. These features use AI-based (semantic) matching and may be incomplete, may miss relevant items, or may surface items that turn out not to be relevant. Only content in your own account is searched and surfaced. Results are not a substitute for your own judgment, and you should verify anything important before relying on it.

6. Intellectual Property

The App's text, graphics, images, and content are Company property protected by copyright, trademark, and other laws. You receive a limited, non-exclusive, non-transferable license for personal, non-commercial use.

6.1 Generated Images

Generated images are subject to these terms:

• You retain rights to images you generate
• You are solely responsible for ensuring use doesn't infringe third-party rights
• The Company makes no ownership claims to user-generated images

7. User Content

When you upload, share, or provide content, you retain your rights. However, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute content. This license includes creating search indexes and vector embeddings of your content, and surfacing your own content back to you (for example as search results or as related items in chat), in order to provide these features; it does not permit us to use your content to train AI models (see our Privacy Policy). Saving documents and notes to your library requires a Chunk Pro subscription and is limited to 3,000 pages per account. Exceeding this limit may result in additional charges or restrictions at our discretion.

This includes content you bring in through the capture features and Automations described in Section 5. You represent and warrant that you own or have the necessary rights and permissions to any third-party content you capture, forward, clip, or direct an Automation to collect, and that our processing of it on your behalf will not infringe or violate the rights of any third party. The license you grant us is limited to operating and providing the service to you, and does not permit us to use your content to train AI models (see our Privacy Policy).

8. Third Party Integrations

The App integrates with several third-party services. Your use of these integrations is also subject to the terms and privacy policies of the providers involved, and where a Connector requires it you must have an active account with the provider.

8.1 Apple Maps

The App integrates with Apple Maps for mapping and direction services. Your use is also subject to Apple's terms of service and privacy policy. We are not responsible for availability, accuracy, or reliability of mapping services.

8.2 Connectors (Gamma, Notion)

The App's optional Connectors feature lets you link your own third-party accounts — currently Gamma and Notion — so you can use them inside Chunk through natural language. Connecting an app is entirely your choice. You must have an active account in good standing with the provider, and connections are established through the provider's official OAuth authorization flow.

Your use of each connected app remains subject to that provider's own terms and privacy policy, which are incorporated into these Terms by reference:

When you invoke a Connector in Chunk, only the content needed to complete your request is sent to the connected app, and only the data the app returns is brought back into your Chunk conversation. In addition, if you connect a Notion workspace, Chunk periodically indexes the pages and databases you have shared with it so they can appear in search and related-content results, as described in our Privacy Policy. Aside from that, we do not access your connected accounts. Items you create or save through a Connector — such as Gamma decks or Notion pages — live inside the connected provider's workspace and are governed by that provider's storage and retention policies. Anything stored on Chunk's own servers as part of a Connector workflow can be deleted by you at any time from within the app, and you can disconnect any Connector at any time in Settings, which revokes our access.

Gamma requires that AI-generated content produced through Gamma's tools be presented as AI-assisted. You are responsible for honoring that disclosure obligation when you share decks, documents, or other materials generated through the Gamma Connector.

We are not responsible for the availability, accuracy, or reliability of third-party connected services, and we cannot guarantee that a provider will not change, suspend, or revoke API access.

8.3 Email and Capture Services

Inbound and outbound email — including content forwarded to your capture address and the emails we send you about your account — is processed by our email provider, Resend. Content you capture may also be processed by the services listed in our Privacy Policy (for example, to extract the text of a web page or PDF). Your use of these features is subject to those providers' terms, and we are not responsible for the availability or reliability of email delivery.

9. Liability, Indemnity and Content Moderation

While fostering a safe, accurate learning environment, the Company cannot guarantee validity or reliability of AI-generated content or user-shared information. We monitor and remove content violating our Terms, reported as factually incorrect, or promoting hate, violence, or harmful information. However, we do not review all content and are not responsible for information accuracy or legality.

You indemnify and hold harmless the Company, affiliates, officers, directors, employees, agents, and licensors from claims, damages, obligations, losses, liabilities, costs, or expenses arising from: a) your app use by you or anyone using your account; b) Terms breaches; c) posted content; d) image generation feature use; e) location-based service use; or f) your use of the capture features or Automations, including content you capture, forward, or clip and any content an Automation collects or acts upon at your direction.

The Company, directors, employees, partners, agents, suppliers, or affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data, use, goodwill, or intangible losses from app access or inability to access.

Your app use is at your sole risk. The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.

To the maximum extent permitted by law, our total liability to you for all claims arising out of or relating to the App or these Terms will not exceed the greater of (a) the total amount you paid us for the App in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so parts of this limitation may not apply to you.

This provision does not affect statutory consumer rights or exclude liability for fraud, fraudulent misrepresentation, death, personal injury from negligence, and gross negligence where required by law.

10. Governing Law and Jurisdiction

These Terms and your App use are governed by California law, without regard to conflict of laws principles.

11. GDPR, CCPA, and Other Applicable Laws

We comply with GDPR, CCPA, and all applicable data protection and privacy laws. See our Privacy Policy for details.

12. Modifications to Terms

We may update these Terms to reflect service offering changes, including third-party integrations. We will update the "Last Updated" date. Your continued use constitutes acceptance of new Terms.
